1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Pearl Nail Casula ("we", "our", or "us"), governing your access to and use of AdManager, available at https://casula.pegasuslmk.com ("the Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
AdManager is a social media management application designed for nail, spa, beauty, and hair salon businesses in Australia. The Service provides the following features:
- Scheduling and publishing posts to Instagram Business Accounts via the Meta Graph API
- Scheduling and publishing videos to TikTok Business Accounts via the TikTok Content Posting API
- Management of social media content including captions, hashtags, and media files
- Analytics and reporting on published post performance
- AI-assisted content generation for social media captions
3. Eligibility and Account Requirements
To use AdManager, you must:
- Be at least 18 years of age
- Operate a legitimate business entity
- Have the legal authority to grant AdManager access to any social media accounts you connect
- Comply with the Terms of Service and Community Guidelines of all connected platforms (Meta/Instagram and TikTok)
- Provide accurate and truthful information when using the Service
By using AdManager, you represent and warrant that you meet all eligibility requirements.
4. TikTok Integration — Specific Terms
AdManager integrates with TikTok's Content Posting API under TikTok's developer program. By connecting your TikTok account to AdManager, you agree to the following:
4.1 Authorisation
You explicitly authorise AdManager to access your TikTok account with the following permissions for the purpose of operating the Service:
- user.info.basic — to read your TikTok display name and profile information
- video.publish — to publish video content to your TikTok account at your direction
- video.upload — to upload video files as part of the TikTok publishing process
4.2 Compliance with TikTok Policies
You agree that all content you publish through AdManager to TikTok must comply with:
- TikTok's Terms of Service (https://www.tiktok.com/legal/page/us/terms-of-service/en)
- TikTok's Community Guidelines
- TikTok's Creator Marketplace policies
- All applicable local, national, and international laws
4.3 Content Responsibility
You are solely responsible for all content published to TikTok through AdManager. Pearl Nail Casula acts only as a technical intermediary and does not review, endorse, or take responsibility for the content you publish. We reserve the right to suspend TikTok posting functionality if we become aware of Terms of Service violations.
4.4 Revoking TikTok Access
You may revoke AdManager's access to your TikTok account at any time through:
- TikTok app: Profile → Settings and Privacy → Security → Authorized Apps → Revoke Access
- AdManager: Disconnect TikTok under the Social Accounts section at https://casula.pegasuslmk.com/studio
5. Instagram / Meta Integration
AdManager integrates with the Meta Graph API to publish content to Instagram Business Accounts. By connecting your Instagram account, you authorise AdManager to:
- Read your Instagram account information (username, account ID)
- Publish photo and video posts to your Instagram Business Account
- Access your Facebook Pages to obtain the necessary publishing permissions
- Read post engagement data (likes, comments, reach)
You agree to comply with Meta's Terms of Service and Platform Policies at all times. Pearl Nail Casula is not affiliated with or endorsed by Meta Platforms, Inc.
6. User Responsibilities
You agree to:
- Provide accurate and complete information when using the Service
- Only publish content that you own, have licensed, or have the right to use
- Comply with all applicable copyright, trademark, and intellectual property laws
- Comply with Instagram's and TikTok's Terms of Service and Community Guidelines
- Not use the Service to publish illegal, harmful, defamatory, or misleading content
- Not use the Service to spam, harass, or engage in deceptive marketing practices
- Keep your access credentials and any shared login details secure and confidential
- Promptly notify us of any unauthorised use of your account or security breach
7. Content Ownership and Licence
You retain full ownership of all content you create, upload, or publish through AdManager. You are solely responsible for the accuracy, legality, and appropriateness of your content.
By using the Service, you grant Pearl Nail Casula a limited, non-exclusive, revocable licence to store, process, and transmit your content solely for the purpose of delivering the Service to you. This licence terminates upon deletion of your content or account.
8. Prohibited Uses
You must not use AdManager to:
- Violate any applicable local, state, national, or international laws or regulations
- Infringe the intellectual property rights, privacy rights, or other rights of any person or entity
- Publish spam, unsolicited messages, pyramid schemes, or deceptive content
- Publish content that promotes violence, discrimination, hate speech, or illegal activities
- Impersonate any person, business, or entity
- Attempt to gain unauthorised access to any computer system, network, or account
- Use the Service to circumvent, reverse engineer, or exploit the APIs of Meta, TikTok, or any third party
- Interfere with the proper operation of AdManager or associated server infrastructure
- Collect or harvest data from connected platform APIs beyond what is necessary for your own use of the Service
9. Intellectual Property
AdManager and all its original content, features, and functionality (including but not limited to software, text, graphics, and logos) are and remain the exclusive property of Pearl Nail Casula. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.
10. Privacy
Your use of AdManager is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in our Privacy Policy.
11. Service Availability and Modifications
We strive to provide reliable and uninterrupted service, but we do not guarantee that the Service will be available at all times. We reserve the right to:
- Modify, update, or discontinue any feature of the Service with reasonable notice
- Temporarily suspend the Service for maintenance, security, or technical reasons
- Limit access to the Service during periods of high demand
We are not responsible for delays or failures in publishing caused by Instagram, TikTok, or other third-party platform outages, API changes, or rate limiting.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
We do not warrant that the Service will meet your specific requirements, that published posts will achieve any particular reach or engagement, or that social media platforms will not change their APIs or policies in ways that affect the Service.
13. Limitation of Liability
To the maximum extent permitted by the laws of New South Wales, Australia, Pearl Nail Casula, its officers, directors, employees, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Missed post schedules due to technical failures or platform API changes
- Account suspensions or penalties imposed by Instagram, TikTok, or Meta
- Unauthorised access to or alteration of your content by third parties
- Any damage arising from your failure to comply with these Terms
Our total liability to you for any claims arising from use of the Service shall not exceed the amount paid by you to Pearl Nail Casula in the 12 months preceding the claim, or AUD $100, whichever is greater.
14. Indemnification
You agree to indemnify, defend, and hold harmless Pearl Nail Casula and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your content or the publication of your content through AdManager
- Your violation of any applicable law or the rights of a third party
- Your breach of any representation or warranty in these Terms
15. Termination
Either party may terminate this agreement at any time:
- You: Stop using the Service at any time. Contact us at pearlnailcasula2170@gmail.com to request deletion of your data.
- Us: We reserve the right to suspend or terminate your access to AdManager immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required by law or platform policy.
Upon termination, your right to access the Service ceases immediately. Sections 7, 9, 12, 13, 14, and 16 survive termination.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
Before initiating legal proceedings, you agree to first contact us at pearlnailcasula2170@gmail.com to attempt to resolve the dispute informally within 30 days.
17. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pearl Nail Casula regarding the Service and supersede all prior agreements, understandings, or representations.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Service after changes have been posted constitutes your acceptance of the updated Terms.
